Intellectual property, such as trademarks, inventions, utility models, industrial designs, copyright, etc. may form independent subjects of civil law contracts in accordance with the legislation of the Russian Federation.

The Civil Code of the Russian Federation provides the intellectual property right holder with extensive rights to use exclusive rights owned by him/her.

From this point, intellectual property may bring profits to the right holder without implementing an intellectual property outcome into a finished product by the right holder himself/herself.

The right holder is entitled either to sell his/her exclusive rights (under a contract of exclusive right alienation), or grant the right to use the corresponding outcome of his/her intellectual activities to another person (under a license contract).

The legislation provides for two principal requirements to the above contracts:
1. the contract should be concluded in writing;
2. the contract is subject to compulsory registration in the Patent Office - ROSPATENT.
